2. Client Responsibilities & Content Submissions

• Information Provision: To execute projects effectively, the Client agrees to provide necessary access credentials, brand assets, logos, content, and feedback in a timely manner.

• Content Ownership & Accuracy: The Client guarantees that all text, images, trademarks, and materials provided to SPRO IT Solution Pvt Ltd are legally owned by the Client or licensed for use. The Client holds full responsibility for the accuracy and legality of provided materials.

• Approvals: Timely review and written approval of project milestones are required to maintain agreed completion dates.

3. Payments, Billing, and Retainers

• Payment Terms: Services require an upfront deposit or retainer as specified in the service proposal. Work will commence only after the initial deposit is processed.

• Milestone Payments: For project-based work (e.g., Web Development), remaining payments will be tied to milestone completion stages before final deployment or file handoff.

• Ad Spend Policy: For Google Ads and Meta Ads management, direct advertising budgets are paid directly by the Client to the respective ad networks (Google/Meta) and are completely separate from SPRO IT Solution’s management fees.

• Late Payments: Failure to make scheduled payments on time may result in temporary suspension of active work, ad campaigns, or hosting support until accounts are settled.

4. Intellectual Property Rights

• Deliverables Ownership: Upon full and final settlement of all invoiced fees, the Client receives full ownership rights to final deliverables, including completed custom websites, graphic vector assets, and finalized media content.

• Pre-existing Assets: SPRO IT Solution Pvt Ltd retains ownership of proprietary agency tools, internal workflows, software frameworks, and pre-existing code libraries used during development.

• Portfolio Usage: SPRO IT Solution Pvt Ltd reserves the right to showcase completed non-confidential project visuals, website previews, and campaign case studies in our corporate portfolio and marketing materials, unless a strict Non-Disclosure Agreement (NDA) is executed.

5. Revisions and Project Scope Changes

• Included Revisions: Each project includes a fixed number of revision rounds as defined in the initial agreement or project scope.

• Scope Creep: Any requests for additional features, extra web pages, design alterations, or service additions outside the originally agreed scope will be evaluated separately and billed as a new project milestone or hourly charge.

6. Service Limitations and Disclaimers

• Third-Party Platforms: SPRO IT Solution Pvt Ltd is not responsible for policy updates, algorithm changes, service outages, or account suspensions imposed by third-party platforms (including Google, Meta, hosting providers, or domain registrars).

• SEO & Ads Performance: While we employ industry-standard white-hat strategies to optimize search rankings and ad ROI, we do not guarantee specific rank positions or sales figures, as final results depend on search engine algorithms, market competition, and consumer demand.

7. Cancellation and Refund Policy

• Project Cancellation: Clients may request project cancellation in writing. Initial deposits and fees paid for completed work or active campaign hours are non-refundable.

• Monthly Retainers: Monthly recurring services (such as SEO or Social Media Management) require a written notice prior to the next billing cycle as specified in your agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SPRO IT Solution Pvt Ltd shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, business interruption, or loss of data resulting from the use or inability to use our website or services.
